Website Terms of Use
1. Acceptance of These Terms
These Website Terms of Use ("Terms") govern access to and use of onestopops.ca (the "Website"), operated by Kirk Megna, carrying on business as One Stop Ops ("One Stop Ops", "we", "us", or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website. Please read sections 10 and 11, which exclude or limit our liability.
If you use the Website on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
2. Website Purpose and No Client Relationship
The Website describes our operations consulting and related services and may provide blog posts, guides, examples, downloads, and other resources. All Website content is provided for general informational and educational purposes.
Accessing or using the Website or its content, downloading a resource, submitting an inquiry, or booking a call does not by itself create a consultant-client, advisory, fiduciary, or other professional relationship. Website content is not an offer, quote, or commitment to provide services. Consulting engagements require a separate written agreement accepted by One Stop Ops and the client. These Terms govern Website use only; they do not govern consulting services or amend any master service agreement, statement of work, or other engagement agreement.
3. Permitted Use
You may use the Website only for lawful purposes and in accordance with these Terms. You must not: (a) attempt to gain unauthorized access to the Website, its systems, or connected accounts; (b) introduce malware or other harmful code; (c) interfere with the Website's security, availability, or operation; (d) use automated means to scrape, copy, or extract Website content except as permitted by law or with our written consent; (e) impersonate another person or misrepresent your affiliation; or (f) use the Website or its content in a way that infringes another person's rights or violates applicable law.
We may restrict or suspend access where reasonably necessary to protect the Website, our systems, or other users.
4. Intellectual Property
The Website and its content, including text, graphics, branding, layouts, tools, and other materials, are owned by or licensed to One Stop Ops and are protected by applicable intellectual property laws.
You may access and read the Website, share links to it, and download or print reasonable extracts for your own personal or internal business use, keeping ownership notices intact. You may apply general ideas discussed in the content to your own circumstances, subject to these Terms. Except as permitted by law or an express resource licence, you may not republish, redistribute, sell, or claim ownership of our content, or use our branding without written permission. Separate licence terms expressly provided with a resource govern its permitted use.
Our name, logos, and other branding remain our property or that of their respective owners. No trademark licence is granted by these Terms.
5. Inquiries and Information You Submit
When you submit information through the Website, you represent that it is accurate, that you are authorized to provide it, and that doing so does not violate applicable law or another person's rights.
Do not submit passwords, payment-card information, sensitive personal information, trade secrets, or other confidential information through a general Website form. Arrange an appropriate channel and any necessary confidentiality agreement with us first. Submitting an inquiry does not by itself create a contractual duty of confidentiality; this does not limit duties imposed by law or an existing agreement. We may use the information you submit to respond to your inquiry and assess a potential engagement, subject to applicable law and our Privacy Policy. These Terms do not constitute consent to unrelated marketing.
6. Third-Party Services and Links
The Website may contain links to or features provided by third parties. Their services and content may be governed by separate terms and privacy policies. A link does not imply endorsement unless we expressly say so. To the extent permitted by law, we are not responsible for third-party content, services, availability, or security. This does not remove any responsibility we have under applicable law for personal information handled on our behalf.
7. Accuracy and Availability
We do not guarantee that Website content is accurate, complete, current, or suitable for your circumstances, or that the Website will be uninterrupted, secure, or error-free. We may correct, change, suspend, or discontinue the Website or its content. You are responsible for independently checking information before relying on it.
8. General Information and Independent Judgment
Website content is not tailored consulting advice or a substitute for assessing your own circumstances. It does not constitute legal, accounting, tax, investment, or other regulated professional advice. Obtain appropriate professional advice where needed. Before applying a workflow, automation, integration, AI-related suggestion, or other example, assess its suitability, risks, and third-party requirements, and test it before use in live systems. Subject to rights that cannot lawfully be excluded, you use and rely on Website content at your own risk. Examples, case studies, and descriptions of results do not guarantee similar outcomes.
9. Privacy
Our collection, use, and disclosure of personal information through the Website are described in our Privacy Policy, available at https://onestopops.ca/privacy.
10. Disclaimers
To the maximum extent permitted by law, the Website and its content are provided "as is" and "as available", without representations, warranties, or conditions of any kind, whether express, implied, or statutory, including as to accuracy, merchantability, fitness for a particular purpose, non-infringement, security, or uninterrupted or error-free operation.
Nothing in these Terms excludes a warranty, condition, right, or remedy that cannot lawfully be excluded.
11. Exclusion and Limitation of Liability
General exclusion. To the maximum extent permitted by law, One Stop Ops, its proprietor, and its personnel and contractors will not be liable for any loss or damage arising from access to, use of, inability to use, or reliance on the Website or its content, including errors or omissions in that content.
Business and consequential losses. Without limiting the general exclusion, and to the maximum extent permitted by law, the same parties will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; business interruption; or loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, whether those business losses are direct or indirect.
Application. These exclusions apply whether a claim is based in contract, tort (including negligence or negligent misrepresentation), statute, or otherwise, even if the possibility of loss was foreseeable or brought to our attention.
Exceptions. Nothing in these Terms excludes or limits liability for fraud or wilful misconduct, any liability that cannot lawfully be excluded or limited, or any statutory right or remedy that cannot lawfully be waived. This section does not limit liability arising under a separate client engagement agreement.
12. Changes to the Website or These Terms
We may update these Terms by posting a revised version and updating the Last Updated date. Changes take effect when the revised Terms are posted, unless a later effective date is stated. Changes apply prospectively and do not retroactively change rights or claims arising before they take effect. Where required by law, we will provide additional notice or obtain consent. Continued use after the revised Terms take effect indicates acceptance to the extent permitted by law. If you do not agree, stop using the Website.
13. Governing Law and Courts
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. Subject to any rights that cannot lawfully be limited, you and One Stop Ops submit to the exclusive jurisdiction of the courts of Ontario.
14. General
If a provision is held invalid or unenforceable, it is severed to that extent and the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These Terms are the entire agreement concerning Website use, subject to any express resource licence. Our Privacy Policy separately explains our personal-information practices. Separate client engagement agreements remain unaffected.
